Business Valuation Services
Value is more than a number.
ProDelta Advisors provides accredited business valuation services for public and privately held companies, ownership interests, securities, and other business assets. Businesses and their advisors rely on valuations to support transactions, ownership transitions, succession plans, estate and gift tax reporting, financial reporting requirements, equity compensation plans, shareholder disputes, and litigation matters. Each valuation engagement is tailored to its intended purpose and provides an objective, defensible conclusion of value.
We look beyond the numbers to understand what drives value across:
- +Business enterprises and ownership interests
- +Common and preferred equity, simple to complex
- +Debt instruments
- +Options, warrants, and hybrid securities
- +Intangible assets and intellectual property
- +Earnouts, contingent consideration, and carried or profits interests
- +Portfolio holdings and investment structures
Tax and estate planning
ProDelta provides fair market value valuations for estate and gift tax planning, trust funding, family limited partnerships, ownership transfers, charitable contributions, ESOPs, and other wealth transfer strategies. We value controlling and non-controlling interests and provide support for discounts for lack of control and lack of marketability when appropriate. Our analyses are designed to withstand IRS scrutiny and are prepared in coordination with estate planning attorneys, CPAs, trustees, and other trusted advisors to support legal and tax compliance.
Fair value and financial reporting
We support fair value measurements for audited financial statements, for both SEC registrants and private filers. This includes purchase price allocations and business combinations (ASC 805 and IRC § 1060), goodwill and intangible asset impairment testing (ASC 350 and ASC 360), equity compensation valuations (409A / ASC 718) and complex financial instruments, and fair value measurements and mark-to-market (ASC 820). Our analyses are built to withstand IRS, SEC, auditor, and lender scrutiny.
Litigation and dispute resolution
ProDelta provides valuation and financial analysis services for shareholder disputes, partnership disputes, economic damages, lost profits, marital dissolutions, tax controversies, and other contested matters. We work closely with attorneys and their clients to develop objective, defensible analyses tailored to the specific facts and issues of each case. Our experience includes serving as a retained expert, preparing expert reports, and providing testimony in support of negotiations, mediations, depositions, and trial proceedings.
Transactions and planning
Many business owners want to understand where their business stands before pursuing a transaction or major strategic initiative. ProDelta provides valuation analyses that help clients assess exit readiness, evaluate value drivers, model potential outcomes, and identify opportunities to enhance value. Whether considering a sale, acquisition, ownership transition, or growth initiative, our analyses provide objective insight to support informed decision-making.

What is a business valuation?
A business valuation is an independent analysis that estimates the value of a company, ownership interest, security, or other business asset.
Why would I need a business valuation?
Valuations are commonly needed when buying or selling a business, issuing equity compensation, transferring ownership interests, planning for taxes or estate matters, meeting financial reporting requirements, resolving litigation or shareholder disputes, raising capital, or supporting a major strategic or succession decision.
When do you need a valuation?
A valuation is usually tied to a significant event or reporting date, such as a transaction date or triggering event, year-end or quarter-end reporting, a gift date, date of death, divorce filing date, or date of damages.
What valuation approaches do you use?
We evaluate value using three established approaches: the income approach, which looks at expected future cash flows; the market approach, which compares to guideline public companies and/or similar transactions; and the asset approach, which is based on net asset value. We select the most relevant approach, or a blend, based on the nature of the business and the purpose of the valuation.
Should I get a valuation before selling my business?
Many owners benefit from getting a valuation before starting a sale process. It helps set realistic expectations, identify value drivers, support exit and tax planning, and flag issues worth addressing before approaching buyers.
What is a 409A valuation?
A 409A valuation estimates the fair market value of a private company’s stock for equity compensation purposes. It’s most often used by companies issuing stock options or other equity-based awards.
Can you perform valuations for tax and estate planning?
Yes, and these are some of the engagements we find most rewarding. We support gift and estate transfers, succession planning, family limited partnerships, ownership transfers, charitable contributions, and other tax-driven planning matters.
Can you work directly with our CPA, attorney, auditor, or other advisors?
Yes, with your consent. We regularly coordinate with CPAs, attorneys, auditors, wealth advisors, family offices, lenders, and management teams to support tax, legal, accounting, transaction, and planning objectives.
What makes ProDelta different?
